
These Affiliate Program Terms and Conditions (“Agreement”) govern the relationship between DaxBulls (referred to as “Company,” “we,” “our,” or “us”) and you, the individual or entity applying to participate in the DaxBulls Affiliate Program (referred to as “Affiliate,” “you,” or “your”). By submitting an application or participating in the Affiliate Program, you agree to be bound by the terms of this Agreement.

1. Definitions
1.1 Affiliate: Any individual or entity that has been accepted into the DaxBulls Affiliate Program to promote DaxBulls’ services.
1.2 Affiliate Link: A unique URL provided to the Affiliate that tracks referrals to the Company’s website.
1.3 Commission: The financial compensation an Affiliate earns for referred sales, as specified in the Commission Schedule.
1.4 Net Sales: The total revenue from sales referred by the Affiliate, excluding returns, chargebacks, taxes, and fees.
1.5 Customer: A user who purchases DaxBulls’ services after being referred via an Affiliate Link.
1.6 Referral Period: The time window during which a Customer’s purchase can be attributed to an Affiliate based on the Affiliate’s referral link.
1.7 Tracking Cookies: A method used to track Affiliate referrals. DaxBulls’ tracking cookies remain active for 30 days from the first referral visit unless cleared by the Customer.

2. Program Enrollment

2.1 Eligibility Requirements
To be eligible for the DaxBulls Affiliate Program, you must:

Possess a valid, verifiable bank account or payment method for receiving commissions.

Own or operate a website, blog, social media platform, or other marketing outlet that complies with applicable laws, regulations, and ethical standards.

Agree to and comply with this Agreement, as well as DaxBulls’ Privacy Policy and any other guidelines.

2.2 Application Process
To join the Affiliate Program, you must complete and submit the Affiliate application form found on the DaxBulls website. The form will require information such as:

2.3 Evaluation and Approval
Applications are evaluated based on several factors, including:

The quality of the applicant’s marketing platform(s) and audience.

Alignment with DaxBulls’ values and the likelihood of reaching a relevant and compliant audience.

Ethical and legal standards of the applicant’s marketing practices. DaxBulls reserves the right to accept or reject any application without providing a reason.

2.4 Affiliate Account Creation
Upon approval, an Affiliate account will be created, providing access to tracking tools, reporting, and marketing materials. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account.

3. Affiliate Responsibilities

3.1 Marketing Guidelines
Affiliates are required to promote DaxBulls in a lawful and ethical manner, adhering to the following guidelines:

Honest Representation: Affiliates must accurately represent the features, benefits, and limitations of DaxBulls’ services. Misleading information, exaggerated claims, or unverified results are strictly prohibited.

Permissible Channels: Affiliates may promote DaxBulls on websites, blogs, social media, and other digital channels that comply with DaxBulls’ ethical and brand guidelines.

Content Compliance: Any content published by the Affiliate in connection with the Affiliate Program must comply with applicable laws, regulations, and standards, including advertising and consumer protection laws.

3.2 Prohibited Marketing Practices
The following practices are strictly prohibited, and engaging in any of these practices may result in immediate termination from the program and forfeiture of unpaid commissions:

Spam: Sending unsolicited emails, messages, or any form of spam to promote DaxBulls is strictly prohibited.

Misleading Promotions: Making false, deceptive, or misleading claims about DaxBulls’ services, including guarantees of income, unverified success stories, or unsubstantiated performance claims.

Black Hat SEO: Using deceptive or manipulative SEO tactics, including keyword stuffing, cloaking, or any method that violates search engine terms.

Paid Search Advertising on Branded Terms: Affiliates are prohibited from bidding on DaxBulls' brand keywords (e.g., "DaxBulls") in paid search ads, including Google Ads, Bing Ads, or other search engine marketing platforms.

Incentivized Traffic: Offering incentives (such as discounts, cash rewards, or free products) to potential customers in exchange for using your Affiliate Link is prohibited unless explicitly authorized by DaxBulls in writing.

3.3 Compliance with Laws and Regulations
Affiliates must comply with all applicable laws and regulations, including, but not limited to:

Advertising Laws: You must clearly disclose your affiliation with DaxBulls in accordance with the Federal Trade Commission (FTC) guidelines, GDPR (General Data Protection Regulation), MIFID II and ESMA guidelines, and any other applicable advertising laws. For example, using phrases like “I may receive compensation from DaxBulls for purchases made through my links” or similar disclosures.

Data Protection Laws: Affiliates must handle any collected data in compliance with local, national, and international data protection laws, such as GDPR

Anti-Fraud Measures: Engaging in fraudulent activity, such as creating false leads, generating fake traffic, or using bot-driven traffic, will result in immediate termination.

4. Intellectual Property and Usage Rights

4.1 Grant of License
DaxBulls grants Affiliates a limited, non-exclusive, revocable license to use the Company’s trademarks, logos, and other intellectual property solely for the purpose of promoting DaxBulls in accordance with this Agreement.

4.2 Use of Materials
Affiliates may use only the materials provided or approved by DaxBulls, including banners, logos, and other marketing content. Affiliates may not:

Modify or alter DaxBulls’ logos, trademarks, or materials without prior written approval.

Register any domain names, social media accounts, or online profiles containing DaxBulls' name or confusingly similar terms.

4.3 Restrictions
Affiliates must refrain from using DaxBulls’ intellectual property in any way that is misleading, defamatory, or likely to harm the reputation of DaxBulls.

5. Commissions and Payment Terms
​
5.1 Commission Structure
Affiliates earn a commission based on the net sales generated by customers referred via the Affiliate Link. The exact percentage and structure of commissions are specified in the Commission Schedule, which may vary depending on the Affiliate’s performance, the specific services purchased, or other factors.

5.2 Tracking and Attribution
DaxBulls uses tracking cookies to attribute sales to the appropriate Affiliate. The tracking cookies last for 30 days after a customer clicks on the Affiliate Link, unless the customer clears their cookies or uses a different browser.
​
5.3 Payout Schedule
Commissions will be paid on a monthly basis, typically within [X] days after the end of each month. Payments will only be made if the Affiliate’s commission balance meets or exceeds the minimum payout threshold of [$100]. Any earnings below this threshold will roll over to the next month.

5.4 Payment Methods
Payments will be made via direct bank transfer or an approved payment provider. Affiliates are responsible for ensuring that their payment information is accurate. DaxBulls is not responsible for any delays or errors due to incorrect payment information provided by the Affiliate.

5.5 Chargebacks and Refunds
If a customer’s purchase is subject to a refund, chargeback, or cancellation, the associated commission may be deducted from the Affiliate’s earnings in future payment periods.

5.6 Tax Obligations
Affiliates are responsible for complying with all tax laws applicable to their earnings from the Affiliate Program. Affiliates are responsible for all other tax filings, including income tax and VAT where applicable.

6. Term and Termination
​
6.1 Term of Agreement
This Agreement becomes effective when DaxBulls approves the Affiliate’s application and remains in effect until terminated by either party.

6.2 Termination by DaxBulls
DaxBulls reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Affiliate. Grounds for immediate termination include, but are not limited to:

Breach of any provision of this Agreement.

Engaging in fraudulent or unethical marketing practices.

Failing to comply with applicable laws or regulations.

6.3 Termination by Affiliate
The Affiliate may terminate this Agreement at any time by providing written notice to DaxBulls. Upon termination, the Affiliate must cease all promotional activities related to DaxBulls and remove all DaxBulls-related materials from their platforms.

6.4 Effect of Termination
Upon termination of this Agreement, the Affiliate will lose access to their Affiliate account and will no longer be eligible for commissions on sales generated after the termination date. Any unpaid commissions earned before termination will be paid in accordance with the regular payout schedule, provided the minimum payout threshold is met.

6.5 Post-Termination Obligations
After termination, the Affiliate must cease using DaxBulls' trademarks, logos, and any marketing materials. Any ongoing promotional content must be removed, and the Affiliate may not continue using the Affiliate Link or present themselves as affiliated with DaxBulls.

7. Confidentiality
​
7.1 Confidential Information
In the course of participating in the Affiliate Program, Affiliates may receive confidential information related to DaxBulls’ business operations, marketing strategies or product details. This information is considered proprietary and must not be shared with third parties.
​
7.2 Non-Disclosure Obligations
Affiliates agree to maintain the confidentiality of any proprietary or confidential information provided by DaxBulls and to use such information solely for the purposes of promoting DaxBulls’ services in accordance with this Agreement.

8. Limitation of Liability
​
8.1 No Guarantee of Income
DaxBulls makes no representations or guarantees regarding potential earnings from the Affiliate Program. Earnings will vary based on the Affiliate’s marketing efforts, the quality of leads, and other factors beyond DaxBulls’ control.
​
8.2 Liability Limitation
To the maximum extent permitted by law, DaxBulls is not liable for any indirect, incidental, or consequential damages, including loss of income, profits, or data, arising out of the Affiliate’s participation in the Affiliate Program. In no event shall DaxBulls’ total liability exceed the amount of commissions paid to the Affiliate in the preceding 6 months.

9. Indemnification

Affiliates agree to indemnify, defend, and hold harmless DaxBulls, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of:

The Affiliate’s breach of this Agreement.

Any illegal, unethical, or negligent conduct by the Affiliate.

Any violation of applicable laws or regulations by the Affiliate.

10. Governing Law and Dispute Resolution
​
10.1 Governing Law
This Agreement will be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law principles.
​
10.2 Dispute Resolution
Any disputes arising from or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the Bulgarian Arbitration Court. The arbitration shall take place in Sofia, Bulgaria, and the decision of the arbitrator will be final and binding on both parties.

11. Miscellaneous Provisions
​
11.1 Modification of Terms
DaxBulls reserves the right to update or modify these terms at any time. Affiliates will be notified of material changes via email or through the DaxBulls website. Continued participation in the Affiliate Program after such changes indicates acceptance of the revised terms.
​
11.2 Independent Contractor Status
Affiliates act as independent contractors under this Agreement. Nothing in this Agreement shall be construed to create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the Affiliate and DaxBulls.
​
11.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
​
11.4 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings regarding the subject matter.

12. Acceptance of Terms

By applying for and participating in the DaxBulls Affiliate Program, the Affiliate acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement.
